Client Service Agreement
Resolve Support LLC
This Client Service Agreement (“Agreement”) governs the services provided by Resolve Support LLC, a Wyoming limited liability company doing business as Resolve Digital Agency (“Resolve,” “we,” “us”), to the client who accepts this Agreement (“Client,” “you”).
By checking the acceptance box and completing payment through Stripe Checkout, you agree to the terms below. This Agreement takes effect on the date of your first successful payment (the “Start Date”).
PART A — GENERAL TERMS
1. Services Overview
Resolve offers two categories of services. Depending on the plan you select at checkout, this Agreement will cover one or both:
- Marketing Strategy Services — Google Ads campaign management, landing pages, call tracking, SMS lead rescue, Trustivo review generation, and ongoing optimisation.
- Website Maintenance Services — WordPress or WooCommerce maintenance memberships including updates, backups, security monitoring, and technical support.
The specific inclusions for your plan are described in Part B (Marketing) and Part C (Website Maintenance) of this Agreement, and as published at resolvedigitalagency.com at the time of your purchase.
2. Fees and Payment
You will pay the monthly plan fee in advance on the Start Date and on the same day of each subsequent month. All fees are in United States Dollars (USD) and are non-refundable except as required by law.
Stripe is our payment processor. By entering your payment details, you authorise us to charge your payment method automatically on each billing date for the duration of this Agreement.
If a payment fails, we will retry the charge and notify you. Accounts that remain unpaid for more than seven (7) days may be suspended under Section 8.
Prices are subject to change, but we will notify you of any fee changes before your next billing cycle. Continued use of the services after a price change constitutes acceptance of the new fee.
3. Your Responsibilities
You agree to:
- Provide accurate information about your business, services, and target customers during onboarding.
- Grant the access we need to deliver services, including Google Ads, Google Business Profile, hosting, CMS, and your website where applicable.
- Respond to reasonable requests for information, approvals, and feedback in a timely manner.
- Keep your payment method current.
- Ensure that the services you advertise are lawful and that any claims you ask us to make are accurate.
4. Ownership of Accounts and Content
You own your Google Ads account, your Google Business Profile, and the customer data collected through your campaigns. If this Agreement ends, we will leave those accounts with you.
Landing pages, multi-step forms, tracking configurations, and campaign assets we build as part of the services are the property of Resolve and are licensed to you for the duration of this Agreement. Upon termination, these assets will be deactivated after a reasonable transition period of up to thirty (30) days.
Proprietary tools, templates, workflows, and reporting dashboards we use to deliver the services remain the property of Resolve.
Trustivo is provided under a separate Trustivo account linked to your business. Access to Trustivo ends if you cancel your marketing plan, unless you migrate to a direct Trustivo subscription.
We do not claim ownership of any content, data, or intellectual property you provide to us for the purpose of receiving our services. You retain all rights in your own content.
5. Cancellation and Termination
5.1 Cancellation by You
After any applicable minimum term has been completed, you may cancel this Agreement by giving thirty (30) days’ written notice. Written notice includes email to your account manager or via the contact page at resolvedigitalagency.com.
Cancellation stops future billing but does not entitle you to a refund for any unused portion of a billing period.
5.2 Early Termination During a Minimum Term
If your plan includes a minimum term (see Part B), you may request to end the Agreement early. Resolve is not obligated to agree, but will consider the request in good faith. If we agree to release you early, any outstanding monthly fees owed up to the agreed release date remain payable.
5.3 Termination by Us
We may terminate this Agreement immediately if you materially breach it, fail to pay, or use our services for unlawful purposes. We may also terminate with thirty (30) days’ notice if we reasonably believe the working relationship is no longer workable.
6. Suspension
We may pause or suspend services if your account is in arrears, if your payment method fails repeatedly, if we lack the access needed to deliver services, or if we are asked to do something that would breach Google’s policies, hosting provider terms, or the law. Services resume when the underlying issue is resolved.
7. Confidentiality
Each party will keep the other’s non-public business information confidential and use it only to perform this Agreement. This obligation continues for two (2) years after the Agreement ends.

8. Data and Privacy
We will handle personal data in accordance with our Privacy Policy at resolvedigitalagency.com. You are responsible for any personal data you provide to us and for ensuring that it has been collected and shared lawfully.
9. Warranties and Disclaimers
We will perform our services with reasonable skill and care. We do not guarantee any specific number of calls, leads, sales, rankings, or revenue. Marketing and website outcomes depend on many factors outside our control.
The services are provided “as is” except for the commitments stated in this Agreement. We disclaim all other warranties to the fullest extent permitted by law, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement
10. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities.
Resolve’s total liability under this Agreement, whether in contract, tort, or otherwise, will not exceed the fees you paid to Resolve in the six (6) months immediately before the event giving rise to the claim.
Nothing in this Agreement excludes liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Resolve Support LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) Your use of the services.
(b) Your violation of this Agreement or any applicable law.
(c) Your infringement of any intellectual property or other rights of any third party.
12. Governing Law and Disputes
This Agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules.
The parties will try to resolve any dispute informally first. If that fails, the dispute will be resolved in the state or federal courts located in Wyoming, and both parties consent to that jurisdiction.
Any cause of action or claim arising out of or relating to this Agreement must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.
13. General
This Agreement, together with the plan details published at resolvedigitalagency.com on the Start Date, is the entire agreement between you and Resolve on this subject. It replaces any prior discussions or agreements. In the event of any conflict between this Agreement and the general Terms and Conditions published on our website, this Agreement prevails.
We may update this Agreement from time to time. Changes take effect at your next monthly renewal. Continued use of the services after that date means you accept the updated terms.
If any part of this Agreement is unenforceable, the rest stays in effect. A failure to enforce any right is not a waiver of that right. Neither party may assign this Agreement without the other’s consent, except to a successor in connection with a sale of substantially all of its business.
Notices under this Agreement may be given by email to the address associated with your account (for you) or to hello@resolvedigitalagency.com (for us).
PART B — MARKETING STRATEGY SERVICES
This Part applies if you have selected a Starter, Growth, Scale, or Custom marketing plan.
B1. Marketing Plan Inclusions
Resolve will provide the marketing services included in the plan you select at checkout. Each plan covers a defined number of locations and includes the following as standard:
- Google Ads campaign setup and ongoing management.
- A conversion-optimised landing page per location.
- Call tracking with a dedicated tracking number per campaign.
- SMS lead rescue for missed calls.
- Trustivo review generation profile per location.
- Ongoing campaign optimisation.
- Performance reporting.
Scale plans also include a monthly strategy call. Plan details and pricing are as published at resolvedigitalagency.com at the time of your purchase.
Custom plans for four or more locations are provided under a separate quote that references this Agreement.
B2. Term and Renewal
Marketing plans run for an initial minimum term of six (6) months from the Start Date. After the initial term, the Agreement continues on a month-to-month basis until cancelled under Section 5.
The six-month initial term reflects the time required to build, test, and refine the marketing strategy. You acknowledge that meaningful results take time and commit to the initial term accordingly.
B3. Setup Fee
A one-time setup fee of US$990 is payable at the start of the engagement. This fee covers strategy and consulting, Google Ads campaign build, call tracking and SMS rescue configuration, Trustivo setup, and full testing before launch. The setup fee is non-refundable once work has commenced.
B4. Ad Spend
Ad spend is paid by you directly to Google. Resolve does not collect, hold, or bill for ad spend. You retain full control of your ad budget and can view spend in your Google Ads account at any time.
We will recommend a starting ad spend during onboarding based on your industry, location, and goals. You remain responsible for your ad budget and any costs charged by Google.
Resolve is not responsible for changes to Google Ads platform policies, pricing, or performance that are outside of our control.
B5. Exclusivity
For the duration of this Agreement, Resolve will not knowingly provide the same marketing services to a directly competing business in the same industry and same market area covered by your plan. If a conflict is identified, we will discuss it with you and confirm the allocation in writing.
“Market area” is defined during onboarding and recorded with your account. Exclusivity applies only to the market areas we are actively running campaigns in for you. Upon termination, the market area becomes available to other businesses in the same industry.
PART C — WEBSITE MAINTENANCE SERVICE
This Part applies if you have selected a WordPress Maintenance or WooCommerce Maintenance plan.
C1. Maintenance Plan Inclusions
WordPress Maintenance
The WordPress maintenance membership includes:
- WordPress core, theme, and plugin updates.
- Daily automated backups with off-site storage.
- Security monitoring and malware scanning.
- Uptime monitoring
- Bug fixes and minor front-end adjustments
- Technical support via email and our support portal.
WooCommerce Maintenance
The WooCommerce maintenance membership includes everything in the WordPress plan, plus:
- WooCommerce core and extension updates.
- Checkout, payment gateway, and shipping configuration support.
- Product management support.
- Tax and compliance configuration assistance.
- Store-specific troubleshooting and bug fixes.

C2. Term
Website maintenance memberships operate on a month-to-month basis with no minimum commitment. Either party may cancel with thirty (30) days’ written notice under Section 5.
C3. Scope and Limitations
Our maintenance services are intended to keep your WordPress or WooCommerce site running smoothly, up-to-date, and secure. We will make reasonable efforts to deliver services but do not guarantee that our services will resolve every possible issue or prevent all security breaches.
We rely on you to provide necessary access credentials (hosting, CMS, FTP, and any relevant third-party accounts) and accurate information. If you fail to do so, it may limit our ability to deliver the services.
We may decline to perform certain requests that fall outside the scope of your membership. We will inform you if any requested work cannot be provided under your current plan.
C4. Development Time Blocks
For work that falls outside ongoing maintenance — such as new pages, integrations, or complex changes — active members may purchase blocks of development time. Development time is scoped and estimated before work begins and billed separately from your ongoing plan fee.
C5. Website Ownership
You own your website, its content, your hosting account, and your domain name. If this Agreement ends, all of these remain yours. We will provide a reasonable handover period and will not withhold access to your website or hosting credentials.
PART D — ACCEPTANCE
14. Acceptance
By checking the acceptance box and completing payment at Stripe Checkout, you confirm that:
- You have read and agree to this Agreement.
- You are authorised to enter this Agreement on behalf of your business.
- The information you have provided is accurate.
